Terms of Service

1Article 1 (Purpose)

These Terms and Conditions are intended to define the rights, obligations, and responsibilities between the Company and its members in relation to the use of services such as parts search, quotation, ordering, payment, and settlement provided on the online platform operated by the Company.

2Article 2 (Definitions)

• "Member" refers to a person who has agreed to these Terms and has been granted the right to use the services.
• "Buyer" refers to a member who searches for, requests quotations for, and purchases parts through the platform.
• "Seller" refers to a member who registers, quotes, and sells parts through the platform.
• "Service" refers to all online services provided by the Company, including search, quotation, ordering, payment, settlement, messaging, and notifications.

3Article 3 (Posting and Amendment of Terms)

1. The Company shall post these Terms on the initial screen or a linked page of the service.
2. The Company may amend these Terms to the extent not in violation of applicable laws and regulations.
3. When amending the Terms, the Company shall provide at least 7 days' prior notice, specifying the effective date and the reasons for amendment, alongside the current Terms. However, if the changes are disadvantageous to members, at least 30 days' prior notice shall be given.
4. If a member does not agree to the amended Terms, they may terminate their service agreement. If a member continues to use the service after the notice period, they shall be deemed to have agreed to the amended Terms.

4Article 4 (Membership Registration and Account Management)

1. Membership registration shall be applied for using a unique account based on the applicant's real name, and the Company may request identity verification if necessary.
2. Members must keep their account information up to date and may not transfer or lend their account to others.
3. The Company may restrict or terminate an account if fraudulent use is confirmed, including the provision of false information, misuse of another person's information, or violation of these Terms.

5Article 5 (Use of Services)

1. The Company provides services including parts search, quotation request and proposal, ordering and payment, settlement, messaging, and notifications.
2. The Company may temporarily suspend the provision of services due to system maintenance, technical failures, or other unavoidable circumstances, and shall provide prior or subsequent notice.
3. Members must comply with applicable laws, these Terms, and any notices when using the services.

6Article 6 (Withdrawal, Refund, and Exchange)

1. The Company shall make its best efforts to provide stable services in accordance with applicable laws and these Terms.
2. Members shall not register or transmit information that infringes on the rights of others or violates applicable laws.
3. Members shall not engage in direct transactions or induce direct transactions outside the Company's platform, and may be subject to sanctions such as service restriction or contract termination as provided in these Terms.
4. Members bear responsibility for managing their accounts and passwords, and shall be liable for any damages arising from negligence in such management.

8Article 8 (Privacy Protection)

The Company collects and uses only the minimum personal information necessary to provide its services. For details, please refer to the Privacy Policy.

9Article 9 (Dispute Resolution and Jurisdiction)

1. The Company and members shall negotiate in good faith to amicably resolve any disputes arising from the use of the services.
2. If a dispute cannot be amicably resolved, the competent court shall be determined in accordance with the Civil Procedure Act.

10Article 10 (Prohibition of Direct Transactions)

1. "Direct transaction" as used in these Terms refers to any transaction in which members (including buyers and sellers) directly supply goods or services or settle payments without using the platform and payment/settlement systems provided by the Company. Transactions concluded or performed outside the Company using counterparty information (contact details, company information, representatives, quotation/request details, drawings, environmental data, etc.) obtained through the Company's platform are also considered direct transactions.
2. Members shall not engage in direct transactions outside the Company's platform, nor shall they propose, solicit, or induce direct transactions in any of the following manners:
   1. •Posting or sending messages containing phrases proposing direct transactions, such as "let's trade outside the platform to save fees" or "please contact me directly"
   2. •Requesting payment to a separate bank account, or directing buyers to the member's own website, other sites, messenger apps, social media, or other external channels
   3. •Canceling or failing to proceed with a transaction on the platform while entering into a separate contract outside the Company under the same or similar conditions
3. Even if a member receives a direct transaction request from another member, they shall not comply with such request and shall notify the Company of the fact through the reporting function or customer service center provided by the Company.
4. The Company shall not bear any liability for disputes, damages, fraud, or other issues arising from a member's violation of this Article by engaging in or inducing direct transactions, unless the Company is found to have acted with intent or gross negligence.

11Article 11 (Measures Against Direct Transaction Violations)

1. If it is confirmed or there is substantial probability that a member has violated Article 10 (Prohibition of Direct Transactions), the Company may, taking into comprehensive consideration the severity, frequency of the violation, and its impact on other members and the platform, select and take one or more of the following measures:
   • Written warning (via email, notification, etc.)
   • Deletion of related posts, quotations, bids, etc.
   • Service usage restriction
   • Suspension of membership or forced withdrawal
   • Restriction on re-registration for a specified period
   • Claim for damages
2. In principle, the Company shall provide the member with an opportunity to verify facts and present a defense before taking the measures described above. However, immediate action may be taken without prior notice in any of the following cases:
   1. •Where significant harm has occurred or is imminently likely to occur to a large number of members
   2. •Where repeated identical or similar direct transaction violations have caused significant disruption to the platform's trading order
   3. •Where the legal violation is evident and delay would be impractical
3. The Company shall notify the member of any sanctions imposed under this Article through in-service notifications, email, text messages, or other means.
4. A member may file an objection in accordance with the procedures established by the Company if they have legitimate grounds regarding usage restrictions or contract termination measures imposed for direct transaction violations.

12Article 12 (Governing Law and Interpretation of Terms)

1. The laws of the Republic of Korea shall apply to these Terms and the use of the Company's services. For matters not stipulated in these Terms and interpretation thereof, the Terms and Conditions Regulation Act, Act on Consumer Protection in Electronic Commerce, Monopoly Regulation and Fair Trade Act, Commercial Act, and other applicable laws and commercial customs shall apply.
2. Even if any provision of these Terms becomes invalid or unenforceable under applicable law, the remaining provisions shall continue to be effective.
